OFFICIAL RULES AND REGULATIONS

1. NO PURCHASE NECESSARY. The Heat Up Your Kitchen; A Kitchen Renovation Sweepstakes (“Sweepstakes”) is open to legal residents of the United States (other than residents of Kansas, Missouri, New Jersey, Oklahoma, and Rhode Island, Puerto Rico, the U.S. Virgin Islands, U.S. Military installations in foreign countries, and where prohibited, taxed or restricted by law), at least eighteen (18) years of age at the time of entry, and residing in an area serviceable by Home Depot Installation Services or Lowes Installation Services. Employees and their immediate families (spouses, siblings, children, household members and the spouses and children of the foregoing) of Cable News Network LP, LLLP, and Century 21 Real Estate LLC (collectively, the “Sponsors”), Cottonwood Enterprises and their respective parents, subsidiaries, divisions, trustees, franchisees, participating vendors, distributors, advertising and promotion agencies and affiliated entities (collectively, the "Sweepstakes Entities") are not eligible to enter the Sweepstakes. By entering the Sweepstakes, participants agree to abide by all terms of the Official Rules and Regulations applicable thereto. Subject to all local, state and federal laws and regulations. Some restrictions apply. Void in Kansas, Missouri, New Jersey, Oklahoma, and Rhode Island, Puerto Rico, the U.S. Virgin Islands, U.S. Military installations in foreign countries and wherever prohibited or restricted by law.

2. HOW TO ENTER: Beginning July 17, 2006, eligible participants may go to www.cnnpromos.com/century21, and click the Sweepstakes promotional banner. Participants will register for the Sweepstakes by providing the required information. On-line entry ends 11:59 P.M. Eastern Time (“ET”) on August 11, 2006. Use of any automated entry software is prohibited. Limit one (1) entry per person per day. Sponsors are not responsible for incomplete, misdirected, lost, late or illegible entries. Sponsors are also not responsible for technical, hardware or software failures of any kind, lost or unavailable network connections or failed, incomplete, garbled or delayed software transmissions which may limit an entrants ability to participate in the Sweepstakes or damage to user’s system as a result of participation in the Sweepstakes or downloading any information necessary to participate in the Sweepstakes. Entries will be deemed made by the authorized account holder of the email address submitted at time of entry. In the event of a dispute regarding the identity of any potential winner, the potential winner will be deemed to be the authorized account holder of the email address submitted at time of Sweepstakes entry. The authorized account holder is defined as the natural person who is assigned an email address by an Internet access provider, online service provider or other organization that is responsible for assigning email addresses or the domain associated with the submitted email address. A potential winner may be requested to provide the Sponsors with proof that the potential winner is the authorized account holder of the email address associated with the winning entry. Sponsors reserve the right in their sole discretion, to cancel or modify the Sweepstakes should any computer virus, malfunction or other cause beyond their control corrupt the administration, security or proper operation of the Sweepstakes. All entries become the property of the sponsors and will not be acknowledged or returned. False or deceptive entries or acts, as determined by sponsors, will render the entrant ineligible.

3. HOW TO WIN: One (1) grand prize winner (“Grand Prize Winner”) will be randomly selected on or about August 14, 2006, by Cottonwood Enterprises, an independent fulfillment agency, from among all the eligible entries received. The odds of winning will be determined by the number of eligible entries received. Sweepstakes will be administered by Cottonwood Enterprises and the Sponsors, the decisions of which in all matters regarding the Sweepstakes are final and binding. The Grand Prize Winner will be notified by phone; email and/or mail and must meet all eligibility requirements including the execution and delivery of all necessary releases. If a dispute arises regarding who submitted an on-line entry, the entry will be deemed submitted by the holder of the e-mail account as determined by Sponsor.

4. PRIZES: The Grand Prize Winner will receive a gift certificate or gift certificates totaling Ten Thousand Dollars ($10,000.00) from their choice of either a Home Depot or Lowes building supply store. APPROXIMATE MARKET VALUE (AMV) OF SWEEPSTAKES: Ten Thousand Dollars ($10,000.00).

The reporting and payment of any tax liabilities incurred by the entrant as a result of this sweepstakes and any prize won are the sole responsibility of the entrant. No substitution or transfer of prize or cash redemptions permitted by winner. The Sweepstakes Entities reserve the right to substitute prizes of like value in the event the described prizes, or any portion thereof, are unavailable for any reason whatsoever. All prizes will be awarded.

5. GENERAL RULES AND REGULATIONS: By entering the Sweepstakes, participants grant Sponsors the right, unless prohibited by law, to use their names, voices, pictures and likenesses, without compensation, for the purpose of advertising and publicizing the goods and services of the Sponsors and all matters related to the Sweepstakes, including but not limited to all administrative obligations, in any manner or medium, throughout the world in perpetuity. The winner may be required to sign affidavits of eligibility, tax acknowledgement forms, liability releases and, except where prohibited by law, use of name and likeness releases (“Winner Documents”) and return within ten (10) days of issuance. Noncompliance within this time period may result in disqualification. Return of the prize or prize notification as undeliverable, failure of Sponsors to contact winner based on contact information provided at registration, or failure of potential winner to respond to notification attempts will result in disqualification and an alternate may be selected at the Sponsors’ discretion. In the event the winner declines the prize or fails to return completed releases, Sponsors may elect, at their own discretion, to select an alternate winner. By entering, participants agree to release the Sweepstakes Entities from any and all liability claims or actions of any kind whatsoever for injuries, damages or losses to persons and property which may be sustained in connection with the receipt, ownership or use of the prize, or while preparing for, participating in, and/or traveling to any prize-related activity. The Sweepstakes Entities shall have no responsibility for maintenance, upkeep or repair of Grand Prize or any elements thereof. The Sweepstakes Entities also expressly disclaim any responsibility or liability for injury or loss to any person or property relating to the delivery and/or subsequent use of the prize awarded. In the event more winner notifications are issued, or more winning prize claims are received, than the number of prizes set forth in these Official Rules due to computer, printing, seeding, human, or other error or problem, a random drawing will take place from all eligible prize claims for the prize(s) at issue to award the proper number of prizes as set forth in these Official Rules.

In the event of sabotage, acts of God, computer virus or other events or causes beyond the Sponsors’ reasonable control which corrupt the integrity, administration, security or proper operation of the Sweepstakes, Sponsors reserve the right to cancel or suspend the Sweepstakes. In the event of cancellation, prizes will be awarded from among all eligible, non-suspect entries received prior to the event requiring such cancellation. Notice of cancellation will be posted at www.cnn.com.

6. CONSTRUCTION: All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of any contestant and Sweepstakes Entities, shall be governed by, and construed in accordance with the laws of Georgia. In any action brought to enforce the obligation or right of any party hereunder participants hereby consent to personal jurisdiction and venue in any court of appropriate jurisdiction in Fulton County, Georgia, USA. The invalidity or unenforceability of any provision of these rules shall not affect the validity or enforceability of any other provision.
