The You Can Be a Spy Sweepstakes (“Promotion”) is open to legal residents of the 48 contiguous United States and the District of Columbia, age 21 years or older, except employees, officers, directors and agents (and their immediate family and household members (whether or not related) of Cable News Network, Inc. and Focus Features (collectively, the “Sponsors”), Cottonwood Enterprises (the “Agency”), Incredible Adventures, Inc. (“IA”) and their parent companies, subsidiaries, divisions, trustees, franchisees, participating vendors, distributors, advertising and promotion agencies and affiliated entities (collectively, with the Sponsors, the "Promotion Entities"). Void wherever prohibited by law. Promotion is governed by U.S. law and subject to all applicable federal, state and local laws and regulations. By entering the Promotion, entrants agree to accept and be bound by all terms of these Official Rules and Regulations (“Official Rules”).
HOW TO ENTER: From 12:00:00 pm Eastern Daylight Time (“ET”) on August 25, 2008 to 11:59:00 pm ET on September 19, 2008 (the “Promotional Period”), Sponsors will be conducting a national Promotion encouraging participants to enter for a chance to win a prize. To enter participants must go online to
www.cnn.com/topics during the Promotional Period, click on the Promotion web banner and then complete and submit the online entry form, including their name, address, telephone number (including the area code), e-mail address (if any) and birth date. To be eligible all entries must be received no later than 11:59:00 pm ET on September 19, 2008. All entries must be submitted in the name of an individual person and the prize can only be awarded to the person whose name is on the winning entry. Entries generated by script, macro or other automated means will be void. The Promotion Entities are not responsible for misdirected, incomplete, lost, late, illegible, undelivered, inaccurate or delayed entries, or for technical, hardware, or software failures of any kind, lost or unavailable network connections, or failed, incomplete, garbled or delayed computer transmissions or other errors or problems which may limit or affect a person’s ability to participate in the Promotion, whether human, mechanical, typographical, printing, electronic, network or otherwise, relating to or in connection with the Promotion, including, without limitation, errors which may occur in connection with the administration of the Promotion, the processing of entries, the announcement of the prizes or in any Promotion-related materials. In the event of sabotage, acts of God, terrorism or threats thereof, computer virus or other events or causes beyond the Sponsors’ control, which corrupt the integrity, administration, security or proper operation of the Promotion, Sponsors reserve the right, in their sole discretion, to modify, cancel or suspend the Promotion. In the event of cancellation, Sponsors reserve the right to award prizes from among all eligible, non-suspect entries received prior to the event requiring such cancellation. False or deceptive entries or acts will render the entrant ineligible. All entries become the property of the Sponsors and will not be acknowledged or returned.
LIMIT ONE (1) ENTRY PER PERSON, E-MAIL ADDRESS OR HOUSEHOLD PER DAY. In the event of a dispute concerning who submitted an entry via the Internet, the entry will be declared to have been made by the authorized account holder of the e-mail address submitted at time of entry, but only if that person meets all other eligibility criteria. An authorized account holder is defined as the natural person who is assigned to an e-mail address by an Internet access provider, online service provider, or other organization (e.g. business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.
HOW TO WIN: One (1) grand prize winner (the “Grand Prize Winner” or “Winner”) will be randomly chosen by Agency on or around September 26, 2008 from among all eligible entries received during the Promotional Period. The decision of the Agency and Sponsors will be final and binding in all matters. The odds of winning will depend on the total number of eligible entries received during the Promotional Period. The Winner will be confirmed by U.S. mail, e-mail and/or telephone and must meet all eligibility requirements including the timely execution and return of all necessary releases and documents (if any) required by Sponsors.
PRIZE: Grand Prize Winner will receive his or her choice of
one only (1) of the following Grand Prize options ( “Grand Prize”):
Covert-Ops Training Course including the following: (a) round trip coach class airfare from the major U.S. gateway airport nearest the Grand Prize Winner’s residence to a Tucson, Arizona area airport selected by Sponsors or their designee (Winner and guest must depart from same airport) and (b) 3 day/2 night Covert-Ops experience at Incredible Adventures in Tucson, Arizona which includes round-trip airport transfers, select meals, lodging and use of select equipment. Potential dates for the Covert-Ops Training Course are March 20-22, 2009 or May 15-17, 2009. Subject to group minimum of 10 participants other than Winner and guest.

Evasive Driving Program including the following: (a) round trip coach class airfare from the major U.S. gateway airport nearest the Grand Prize Winner’s residence to a Tucson, Arizona area airport selected by Sponsors or their designee (Winner and guest must depart from same airport) and (b) 4 day/3 night Evasive Driving Program at Incredible Adventures in Tucson, Arizona which includes round-trip airport transfers, select meals, lodging, lesson and participation in driving activities and use of select equipment. Valid driver’s license required for Winner or guest to participate in Evasive Driving Program. Potential dates for the Evasive Driving Program are February 19-22, 2009 or April 23-26, 2009. Subject to group minimum of 10 participants other than Winner and guest.

Approximate Retail Value (“ARV”) of the Grand Prize is Four Thousand Eight Hundred Dollars ($4,800.00) regardless of which of the two options the Grand Prize Winner selects. Winner may only choose one (1) Grand Prize option. Actual value of Grand Prize may vary based on point of departure and airfare fluctuations. The Grand Prize Winner is responsible for all costs and expenses not expressly provided for above, including additional ground transportation, excursions, additional meals, incidentals, tips, telephone calls, souvenirs, other personal expenses and charges incurred during the trip. All travel arrangements must be made through Sponsors’ agent on a carrier of Sponsors’ choice and trip must be booked in advance.
DATES ARE SUBJECT TO AVAILABILITY AND CERTAIN BLACK-OUT DATES AND OTHER TRAVEL RESTRICTIONS MAY APPLY. Sponsors reserve the right to approve any travel dates and
Grand Prize must be redeemed by December 31, 2009. In the event Grand Prize Winner cannot travel on specified dates, then Grand Prize shall be forfeited and no further prize awarded. If no Grand Prize program is offered by December 31, 2009, then Sponsors may award the cash equivalent to Grand Prize Winner. Sponsors are not responsible for any travel related delays or cancellations. Grand Prize Winner and guest are responsible for obtaining proper documentation (e.g., valid photo ID) prior to travel. All prize details are at Sponsors’ sole discretion.
No substitution or transfer of prizes or cash redemptions permitted by the Winner, unless as provided for above. Sponsors reserve the right to substitute for any reason whatsoever a prize (or portion thereof) of comparable or greater value, at their sole discretion. PRIZE IS AWARDED “AS IS” WITH NO WARRANTY OR GUARANTEE, EITHER EXPRESSED OR IMPLIED BY THE SPONSOR. The Winners are responsible for the reporting and payment of all taxes (if any) as well as any other costs and expenses associated with acceptance and use of prize not specified herein as being awarded.
Grand Prize Winner and travel companion must (i) be in excellent physical and mental health and may be required to submit to physical and mental examinations and (ii) wear appropriate attire and conduct themselves in an appropriate, professional manner. Grand Prize Winner and guest should consult with a physician prior to accepting and participating in Grand Prize activities. It is solely your responsibility to judge whether you are healthy enough to take part in this adventure and whether you wish to assume the risks involved.
Sponsors, in their sole discretion, may require Grand Prize Winner and guest to submit medical and physical evaluations.
CONSIDERATIONS AND POLICIES REGARDING GRAND PRIZE: The activities may be inherently dangerous and MAY INVOLVE THE RISK OF SERIOUS INJURY OR DEATH. Grand Prize Winner and guest will be required to read and sign a Release of Liability supplied by IA before being permitted to participate.
Failure to obey safety precautions established by training personnel may result in immediate dismissal from the program. In the event you are dismissed from the program for failure to obey mandatory safety procedures, no refund of participation fees or substitution of prize will be given.
Neither Grand Prize Winner nor guest is allowed to consume alcohol or any drug, pharmaceutical or substance which could negatively affect ability, comprehension, reasoning, judgment, skill, or coordination during training activities. Violation of this rule may result in immediate dismissal from the training program. In the event you are discharged for failure to obey safety orders, no refund of participation fees or substitution of prize will be given.
GENERAL RULES AND REGULATIONS: By entering this Promotion, participants grant Promotion Entities and their designees the right, unless prohibited by law, to use their names, cities and states of residences, voices, pictures and likenesses, without compensation, notification or approval, for the purpose of advertising and publicizing the goods and services of the Promotion Entities and all matters related to the Promotion, in any manner or medium, now or hereafter known, throughout the world in perpetuity. Grand Prize Winner’s travel companion must be a legal US resident and 21 years of age or older. Grand Prize Winner’s travel companion will be required to execute and return a liability/publicity release prior to ticketing. Winner will be required to execute an affidavit of eligibility, liability release, tax acknowledgment form and, except where prohibited by law, a publicity release and return within five (5) business days of issuance of notification. Noncompliance within this time period or failure of potential winner to respond after three (3) notification attempts may result in disqualification and, at Sponsors’ discretion, an alternate winner may be selected. If: (i) any prize or prize notification is returned as undeliverable, (ii) a potential Grand Prize Winner declines his or her prize, (iii) the potential Grand Prize Winner is unable to travel on dates approved by Sponsors or (iv) a potential Winner fails to comply with any of the Official Rules as outlined herein, such potential Winner will be disqualified and an alternate winner will be selected by random drawing at the Sponsors’ sole discretion.
THE PROMOTION ENTITIES EXPRESSLY DISCLAIM ANY RESPONSIBILITY AND ENTRANTS AGREE TO INDEMNIFY AND HOLD HARMLESS THE PROMOTION ENTITIES, THEIR RESPECTIVE EMPLOYEES, OFFICERS, DIRECTORS AND SHAREHOLDERS FROM AND AGAINST ANY AND ALL CLAIMS, ACTIONS, DEMANDS AND/OR LIABILITY FOR INJURY, DAMAGE OR LOSS WHATSOEVER RELATING TO OR ARISING IN CONNECTION WITH PARTICIPATION IN THIS PROMOTION (REGARDLESS OF THE CAUSE OF SUCH INJURY, DAMAGE OR LOSS) AND/OR THE DELIVERY AND/OR SUBSEQUENT USE OR MISUSE OF ANY OF THE PRIZES AWARDED (INCLUDING ANY TRAVEL OR ACTIVITY RELATED THERETO). A legitimately claimed prize will be awarded. No more than the stated number of prizes will be awarded.
CAUTION: ANY ATTEMPT TO DAMAGE ANY ONLINE SERVICE OR WEBSITE OR UNDERMINE THE LEGITIMATE OPERATIONS OF THE CONTEST VIOLATES CRIMINAL AND CIVIL LAWS. IF SUCH AN ATTEMPT IS MADE, SPONSORS MAY DISQUALIFY ANY PARTICIPANT MAKING SUCH ATTEMPT AND MAY SEEK DAMAGES TO THE FULLEST EXTENT PERMITTED BY LAW.
Except where prohibited, as a condition of participating in this Promotion, each entrant agrees that any and all disputes, claims and causes of action arising out of or connected with this Promotion, including without limitation the prize awarded or the determination of the winner, shall be resolved individually, without resort to any form of class action. Further, in any such dispute, under no circumstances will an entrant be permitted to obtain awards for, and hereby waives all rights to claim punitive, incidental or consequential damages, or any other damages, including attorneys’ fees, other than entrant’s actual out-pocket expenses, and entrant further waives all rights to have damages multiplied or increased.
This Promotion and any dispute arising under or related thereto (whether for breach of contract, tortious conduct or otherwise) will be governed by the laws of the State of Georgia, without reference to its conflicts of law principles. Any legal actions, suits or proceedings arising out of this Agreement (whether for breach of contract, tortious conduct or otherwise) will be brought exclusively in the state or federal courts located in Fulton County, Atlanta, Georgia, and each entrant accepts and submits to the personal jurisdiction of these courts with respect to any legal actions, suits or proceedings arising out of or related to this Promotion.
